Vertiv to Acquire ThermoKey, Expanding Heat‑Rejection Capabilities for AI‑Ready Data Centers

Vertiv, the global digital‑infrastructure solutions provider, has announced an agreement to acquire Italy‑based ThermoKey S.p.A., a move expected to significantly strengthen Vertiv’s thermal‑management portfolio and deepen its manufacturing capabilities across EMEA. The acquisition, set to close in the second quarter of 2026 pending regulatory approvals, is aimed at supporting the escalating cooling demands of high‑density and AI‑driven data centers.

With AI factories and hyperscale environments pushing thermal limits, Vertiv says the integration of ThermoKey’s dry coolers and microchannel heat‑exchange technologies will expand customer options across the full thermal chain from liquid and air cooling to enhanced heat‑rejection systems. The acquisition aligns with Vertiv’s strategy of advancing converged physical‑infrastructure solutions that help operators stay ahead of rapid compute‑generation cycles.

Founded in 1991, ThermoKey brings more than three decades of engineering and manufacturing expertise in heat exchangers for data centers, OEM environments, and industrial cooling. The company is known for its microchannel‑based designs, compatibility with low‑GWP and natural refrigerants, and longstanding global customer relationships.

Vertiv expects the acquisition to deliver key benefits for customers, including enhanced support for high‑efficiency cooling in AI environments, improved system‑level thermal integration, broader choice across liquid and air‑cooling strategies, and strengthened EMEA‑region access to advanced heat‑rejection technologies.

The deal also provides Vertiv with added production capacity to meet growing demand in critical‑thermal‑infrastructure segments, supporting the rollout of solutions such as Vertiv™ CoolLoop Trim Cooler systems aimed at optimizing power utilization and overall efficiency.
